Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Triyo Tecnologia da Informacao Ltda, a private limited company duly incorporated under the laws of Brazil, registered under CNPJ 15.123.275/0001-90 ("Triyo," "we," "us," or "our"). These Terms govern your access to and use of our website, web applications, digital products, and all related content, features, and services made available at triyo.online and any associated subdomains (collectively, the "Platform").

By visiting, browsing, registering on, or otherwise accessing the Platform in any manner, you confirm that you have read, understood, and agreed to be fully bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accessing the Platform on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms, and all references to "you" shall include that entity.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform. Your continued use following any amendment to these Terms constitutes your acceptance of the updated version. We encourage you to review this document periodically to remain informed of any changes.

Triyo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful personal or professional purposes directly related to evaluating, procuring, or utilizing our technology services. This license does not include any right to resell or make commercial use of the Platform or its contents, to collect or use any product listings, descriptions, or pricing information for the benefit of a third party, or to make any derivative use of the Platform or its content.

The Platform is designed to provide information about Triyo's technology consulting, software development, IT infrastructure, data management, and digital transformation services. When you submit a contact form, request a quote, or subscribe to our communications, you are doing so voluntarily and consent to receive relevant correspondence from us in connection with those requests.

You may use the Platform provided that:

• All information you provide to us is accurate, current, and complete at the time of submission.
• You maintain the confidentiality of any account credentials and accept responsibility for all activity that occurs under your account.
• You do not attempt to circumvent, disable, or interfere with any security or access-control features of the Platform.
• You access the Platform only through its standard interfaces and do not use automated scripts, bots, or scrapers to extract data without our prior written consent.
• You comply with all applicable local, national, and international laws and regulations in connection with your use of the Platform.

We reserve the right to suspend or permanently terminate your access to the Platform without prior notice if we have reasonable grounds to believe you have breached these Terms, provided false information, or engaged in activity that could harm Triyo, its clients, partners, or third parties.

All content published on or made available through the Platform — including but not limited to text, articles, case studies, graphics, photographs, illustrations, audio and video clips, software source code, user interface design, data compilations, brand identifiers, and the overall "look and feel" of the Platform — is the exclusive intellectual property of Triyo Tecnologia da Informacao Ltda or is used under valid license from the respective rights holders. This content is protected by Brazilian and international laws governing copyright, trademark, trade dress, database rights, and other forms of intellectual property.

The Triyo name, logo, wordmark, and all related product and service names, design marks, and slogans are registered or unregistered trademarks and service marks of Triyo Tecnologia da Informacao Ltda. Nothing in these Terms grants you any right to use any of Triyo's trademarks, trade names, or logos without our express prior written permission. Unauthorized use of Triyo's intellectual property may constitute trademark infringement and unfair competition under applicable law.

If you believe that any content on the Platform infringes your intellectual property rights, please notify us promptly in writing at contato@triyo.online with sufficient detail to allow us to identify the allegedly infringing material, the rights you claim to hold, and the basis for your claim.

We are committed to maintaining a safe, respectful, and legally compliant environment on our Platform. As a condition of your access, you agree that you will not engage in any of the following:

• Uploading, transmitting, or distributing any content that is unlawful, fraudulent, defamatory, obscene, harmful, invasive of another's privacy, or otherwise objectionable under applicable law.
• Impersonating any person or entity, including a Triyo employee, representative, or client, or falsely stating or misrepresenting your affiliation with any person or organization.
• Attempting to gain unauthorized access to any portion of the Platform, other user accounts, computer systems, or networks connected to the Platform through hacking, password mining, or any other means.
• Transmitting unsolicited commercial communications (spam), chain letters, or pyramid schemes through any feature of the Platform.
• Interfering with or disrupting the integrity or performance of the Platform or the data contained therein, including by introducing viruses, worms, Trojan horses, ransomware, or other malicious or harmful code.
• Using the Platform for any purpose that competes with or is adverse to the business interests of Triyo without our prior written consent.
• Harvesting, collecting, or storing personally identifiable information about other users without their express consent.
• Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code of any proprietary software that underlies the Platform.

Triyo reserves the right, at its sole discretion, to investigate suspected violations of these conduct standards and to take any action it deems appropriate, up to and including termination of access and referral to law enforcement authorities. We may cooperate with lawful requests from government or law enforcement agencies in connection with investigations of illegal activity.

For your convenience and reference, the Platform may contain hyperlinks to websites, applications, tools, and resources operated by third parties, including our technology partners, software vendors, open-source communities, and publicly available information sources. These links are provided purely as a convenience and do not constitute an endorsement, sponsorship, or recommendation by Triyo of those third parties, their products, services, opinions, or content.

Triyo exercises no control over the content, privacy practices, security standards, or availability of any third-party websites or resources, and accepts no responsibility or liability — direct or indirect — for any loss, damage, or inconvenience arising from your use of, or reliance on, any such external sites. When you follow a link to leave our Platform, you do so at your own risk and subject to the terms and conditions of the destination website.

If you become aware of a third-party link on our Platform that directs to inappropriate, misleading, or illegal content, please report it to us at contato@triyo.online so we can review and, where appropriate, remove the link.

The Platform and all information, content, materials, products, and services available through it are provided on an "as is" and "as available" basis, without warranty of any kind, either express or implied. To the maximum extent permitted by applicable law, Triyo expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

While we make reasonable efforts to keep the Platform available and the information it contains accurate and up to date, we do not warrant that:

• The Platform will be available continuously, uninterrupted, or without technical errors — planned or unplanned maintenance, infrastructure upgrades, or events beyond our control may affect availability.
• Any information presented on the Platform is complete, accurate, current, or free from typographical or factual error at the time of your access.
• The Platform or the servers that make it available are free from viruses, malware, or other harmful components — you are responsible for maintaining appropriate security measures on your own devices and systems.
• Results obtained through the use of the Platform, including service evaluations or cost estimates, will meet your specific expectations or requirements.

Certain jurisdictions do not allow the exclusion of implied warranties; in such cases, the above disclaimers shall apply to the fullest extent permitted by law in your jurisdiction. Nothing in these Terms shall affect any statutory rights you may have as a consumer under applicable Brazilian consumer protection legislation, including the Consumer Defense Code (Lei nº 8.078/1990), where those rights cannot be waived by agreement.

To the fullest extent permitted under applicable law, Triyo Tecnologia da Informacao Ltda, its directors, officers, employees, contractors, agents, licensors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your access to or use of (or inability to access or use) the Platform, even if Triyo has been advised of the possibility of such damages.

Without limiting the foregoing, the types of excluded damages include, but are not limited to:

• Loss of profits, revenue, or anticipated savings.
• Loss of business opportunities, clients, contracts, or goodwill.
• Loss, corruption, or unauthorized access to data or information.
• Costs associated with procuring substitute services or technology.
• Damage to reputation, or intangible losses of any kind.
• Any failure or delay caused by circumstances outside our reasonable control, including natural disasters, government actions, labor disputes, cyberattacks on critical infrastructure, or telecommunications failures.

In no event shall Triyo's total aggregate liability to you for all claims arising from or related to the Platform — whether in contract, tort (including negligence), strict liability, or any other legal theory — exceed the total amount actually paid by you to Triyo for the specific service that is the direct subject of the dispute during the twelve (12) months immediately preceding the event giving rise to the claim, or BRL 500.00 (five hundred Brazilian reais), whichever is greater.

You agree to defend, indemnify, and hold harmless Triyo Tecnologia da Informacao Ltda and its directors, officers, shareholders, employees, contractors, licensors, successors, and assigns from and against any and all claims, actions, demands, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) that arise out of or relate to:

• Your access to or use of the Platform in a manner inconsistent with these Terms.
• Any breach or alleged breach by you of any representation, warranty, or obligation set forth in these Terms.
• Any content you submit, post, transmit, or otherwise make available through the Platform, including claims that such content infringes the rights of a third party.
• Your violation of any applicable law, regulation, or the rights of any person or entity.
• Any willful misconduct or gross negligence on your part in connection with your use of the Platform.

Triyo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with Triyo in asserting any available defenses. You shall not settle any claim involving Triyo without Triyo's prior written consent. This indemnification obligation will survive the termination or expiration of these Terms and your use of the Platform.

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with their subject matter or formation shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Applicable legislation includes, but is not limited to, the Brazilian Civil Code (Lei nº 10.406/2002), the Consumer Defense Code (Lei nº 8.078/1990), the General Data Protection Law — LGPD (Lei nº 13.709/2018), and the Brazilian Internet Act — Marco Civil da Internet (Lei nº 12.965/2014).

In the event of any dispute, controversy, or claim arising from or related to these Terms or the services provided by Triyo, the parties agree to first attempt in good faith to resolve the matter through direct negotiation. If the parties cannot reach a negotiated resolution within thirty (30) days of written notice of the dispute, either party may submit the dispute to the exclusive jurisdiction of the courts of the Comarca of Curitiba, State of Paraná, Brazil, and each party irrevocably submits to the personal jurisdiction of those courts for such purposes.

Triyo reserves the right to revise, amend, or replace these Terms at any time, at our sole discretion, in order to reflect changes in our services, applicable legal requirements, business practices, or technology environment. When we make material changes to these Terms, we will update the "Last updated" date displayed at the top of this page and, where appropriate, notify registered users by email or through a prominent notice on the Platform prior to the changes taking effect.

We encourage you to review these Terms regularly to stay informed of your rights and obligations. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and, if applicable, close your account by contacting us at contato@triyo.online.

Notwithstanding the foregoing, no amendment to these Terms will alter any rights or obligations that arose prior to the effective date of the revision, unless otherwise required by law. The archived versions of previous Terms are available upon written request.

If you have any questions, concerns, or requests relating to these Terms of Use — including requests to exercise your rights under the LGPD, copyright notices, or any other legal matter — please contact us directly. Our team is committed to responding to all enquiries in a timely and professional manner.

We aim to acknowledge all written enquiries within 2 business days and to provide a substantive response within 15 business days, in compliance with the deadlines established by the LGPD for requests relating to personal data. For matters that require additional investigation or legal review, we will notify you of the expected timeline.
